Terms of Service

Magnestra × Synstella Conglomerate

The rules of the throne. These Terms govern your use of the conglomerate's websites and services across both houses — the B2B growth infrastructure of Magnestra and the B2C creator monetization engine of Synstella. Please read them carefully.

Last Revised: October 21, 2026 • Effective Immediately

1. Scope, Acceptance & The Two Houses

These Terms of Service (the "Terms") govern your access to and use of the websites, platforms, applications, and services operated by the MagneSteller Conglomerate, which unites two operating companies:

Magnestra — B2B

Management & strategy firm delivering CRM systems, lead pipelines, virtual assistants, advertising management, and web development to professional service businesses.

Synstella — B2C

Creator monetization platform delivering live streaming, course hosting, paid communities, audience CRM, and analytics to creators, influencers, and educators.

By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

These Terms are separate from but work alongside our Privacy Policy, which describes how we collect and handle your information. Where the Privacy Policy and these Terms overlap on data handling, the Privacy Policy controls.

2. Definitions

  • "Conglomerate," "we," "us," "our" — MagneSteller and its operating companies, Magnestra and Synstella.
  • "Services" — all products, platforms, websites, software, features, and offerings provided by the conglomerate.
  • "Client" — a business engaged with Magnestra under a signed agreement (SOW, MSA, or order form).
  • "Creator" — a user operating a Synstella community, stream, or course offering to a paying audience.
  • "Audience Member" / "Subscriber" — an end-user who joins a Synstella creator's paid or free community.
  • "Content" — any text, video, audio, stream, course material, data, or other material posted or processed through the Services.
  • "Deliverables" — work product, systems, or assets produced for a Client under a Magnestra engagement.

3. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter a binding contract to use the Services. By registering an account, you represent that all information provided is accurate and that you will keep it current.

  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You may not transfer, sell, or assign your account without our prior written consent.
  • Synstella creators are responsible for ensuring their audience sign-up and payment flows comply with applicable age, parental-consent, and consumer-protection requirements.

4. The Services — Magnestra & Synstella

A. Magnestra — B2B Growth Infrastructure

Magnestra provides professional service businesses with CRM systems, lead-generation pipelines, virtual assistants, advertising management, web development, and related strategy services, as scoped in a signed agreement. Specific Deliverables, timelines, fees, and acceptance criteria are governed by that agreement, which controls over these Terms in the event of a conflict for that engagement.

B. Synstella — B2C Creator Monetization

Synstella provides creators with live streaming, course hosting, paid communities, audience CRM, analytics, and payout tools. Creators are responsible for their Content and their relationship with their Audience Members, and for complying with these Terms and all applicable law.

We may add, modify, or discontinue features at any time. We will provide reasonable notice of material changes to paid Services.

5. Subscriptions, Fees & Payment Terms

  • Magnestra engagements: fees, milestones, and payment schedules are set in the signed agreement. Invoices are due per their terms; late payments may accrue interest and suspend Services.
  • Synstella subscriptions: creators and subscribers are billed on a recurring basis as selected at checkout. You authorize recurring charges until you cancel.
  • Creator payouts: Synstella remits creator earnings per the payout schedule, less any platform fees, taxes, and processing charges disclosed at signup.
  • Taxes: you are responsible for any taxes associated with your use of or earnings through the Services, except taxes we are legally obligated to collect.
  • Refunds: governed by the applicable agreement or our refund policy; recurring subscriptions generally are non-refundable except where required by law.
  • Chargebacks: unauthorized chargebacks may result in account suspension and collection of the disputed amount plus fees.

6. Client & Creator Responsibilities; Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms;
  • Infringe the intellectual property, privacy, or other rights of any person or entity;
  • Upload, stream, or transmit Content that is illegal, harmful, defamatory, harassing, hateful, sexually exploitative, or that exploits or harms minors;
  • Attempt to access, disrupt, or compromise our systems, security, or another user's account, or reverse-engineer or scrape the Services;
  • Use the Services to send unsolicited communications, generate fraudulent leads, or manipulate advertising metrics;
  • Resell, sublicense, or white-label the Services without our written authorization;
  • Submit Magnestra advertising or lead campaigns that violate platform policies (Meta, Google, etc.), consumer-protection, or anti-spam law.

Clients are responsible for the accuracy and lawfulness of data they provide for Magnestra campaigns and for authorizing required platform access. Creators are responsible for their Content and for their Audience Members' experience and compliance.

7. Content & Intellectual Property

  • Your Content: you retain ownership of Content you submit. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display your Content solely as needed to operate and deliver the Services to you.
  • Magnestra Deliverables: ownership and license rights to work product are defined in the signed agreement; absent a contrary term, Deliverables transfer to the Client upon full payment.
  • Synstella Audience Content: audience data collected within a creator's community is controlled by that creator as the data controller; we act as processor.
  • Our Platform: the Services, branding, software, and designs are owned by the conglomerate and protected by intellectual property laws. These Terms grant no right to our marks or proprietary systems except as expressly stated.
  • Third-party marks: partner and affiliate names and marks referenced on our site belong to their owners and are used to denote authorized affiliations, not ownership by the conglomerate.

8. Synstella Creator Monetization & Payouts

Synstella creators may charge for communities, streams, and courses. By enabling monetization, you agree:

  • To provide accurate tax and payout information and to be responsible for your own tax obligations;
  • That the conglomerate may withhold payout, suspend monetization, or recover funds for fraud, chargebacks, disputed Content, or legal hold;
  • To honor refund and consumer-protection obligations to your Audience Members as required by law and our policies;
  • That payouts may be delayed by processors, banking partners, or compliance review.

9. Magnestra Lead Generation & Advertising Compliance

Magnestra manages advertising, lead generation, and outreach on behalf of Clients. Clients represent and warrant that:

  • All offers, claims, testimonials, and creative provided or approved are truthful and compliant with applicable advertising, consumer-protection, and platform policies;
  • Lead and contact data supplied to the conglomerate was lawfully obtained and may be used under applicable consent and do-not-contact rules (e.g., TCPA, CAN-SPAM, GDPR);
  • They hold necessary rights and authorizations for any brand, creative, or intellectual property used in campaigns;
  • They will not direct the conglomerate to run campaigns that violate law or third-party platform terms.

The conglomerate is not liable for the lawfulness of Client-supplied materials or for platform suspensions caused by Client content or data. Campaign performance is not guaranteed; advertising results depend on factors outside our control.

10. Data, Privacy & Security

Our handling of personal information is governed by our Privacy Policy, incorporated here by reference. You are responsible for complying with applicable data-protection law for data you provide or collect through the Services, including obtaining any required consents from your end users. We implement reasonable safeguards but no system is perfectly secure.

11. Warranties & Disclaimers

Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any result (including advertising, lead, or revenue outcomes) will be achieved. You use the Services at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will the conglomerate or its affiliates, officers, employees, contractors, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from or related to the Services, whether in contract, tort, or otherwise.

Our total aggregate liability for any claim arising from the Services is limited to the amount you paid us in the twelve (12) months preceding the claim (or, for Magnestra, the fees paid under the engagement giving rise to the claim). Some jurisdictions do not allow certain limitations; those may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless the conglomerate and its affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your Content or your use of the Services; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) for Magnestra, any Client-supplied materials, data, or instructions. We may elect to defend or control any such matter and you will cooperate with our reasonable requests.

14. Termination & Suspension

  • You may stop using the Services at any time; creators and clients may cancel per their agreement or our cancellation flow.
  • We may suspend or terminate your access immediately for breach of these Terms, fraudulent or abusive conduct, unpaid fees, or to protect the conglomerate, other users, or third-party platforms.
  • Upon termination, accrued obligations survive; licenses to your Content end (except where data must be retained for legal, billing, or backup purposes).
  • For Magnestra, termination terms, wind-down, and data-return obligations are governed by the signed agreement.
  • Sections that by nature should survive (including warranty disclaimers, limitations of liability, indemnification, and dispute terms) survive termination.

15. Disputes, Governing Law & Arbitration

These Terms are governed by the laws of the jurisdiction in which the conglomerate's principal place of business is located, without regard to conflict-of-laws principles. Before filing a claim, you agree to attempt good-faith resolution by contacting us using the details in Section 17.

Any dispute not resolved informally will be resolved by binding arbitration on an individual basis (no class actions), except you may bring small-claims matters in a competent court. You waive any objection to venue or inconvenient forum. The prevailing party may recover reasonable legal fees to the extent permitted.

Magnestra signed agreements may specify different or additional governing-law and dispute-resolution terms; those control for the relevant engagement.

16. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "last revised" date below. For material changes affecting ongoing paid Services, we will provide notice where feasible. Continued use of the Services after changes constitutes acceptance of the revised Terms. If you disagree with a change, you must stop using the Services.
